Conflicts of Interest Policy

Disclosure, Recusal, and Management Procedures

Adopted Pursuant to IACSF Bylaws, Article XXV, Section 25.2

1. Purpose and Scope

This Conflicts of Interest Policy ("Policy") establishes the procedures by which the International Aerial Combat Sport Federation ("IACSF" or "Federation") identifies, discloses, and manages conflicts of interest involving Covered Persons. A conflict-free decision-making environment is essential to the integrity of the Federation and the sport.

This Policy applies to all members of the Board of Directors, the Commissioner, Executive Committee members, Standing Committee members, officers, employees, and contractors of the IACSF ("Covered Persons").

2. Definitions

"Conflict of Interest" means any situation in which a Covered Person has a Direct or Indirect Interest in a matter before the Federation that could improperly influence — or reasonably appear to influence — their judgment, decisions, or actions on behalf of the IACSF.

"Direct Interest" means a financial or personal stake held by the Covered Person themselves, including ownership of equity, employment, creditor or debtor relationships, pending legal claims, or a family or romantic relationship with a party to the matter.

"Indirect Interest" means a financial or personal stake held by a person or entity closely associated with the Covered Person, including a spouse or domestic partner, dependent child, sibling, parent, business partner, or any entity in which the Covered Person holds a five percent (5%) or greater ownership or control interest.

"Matter" means any decision, vote, contract, investigation, disciplinary proceeding, licensing determination, or other official action of the Federation.

3. Disclosure Obligations

3.1 Duty to Disclose

Any Covered Person who has or becomes aware of a potential conflict of interest with respect to a Matter before the Federation shall promptly disclose the nature of the interest to the Commissioner (or, if the Commissioner is the affected party, to the Board Chair) before any deliberation or vote on the Matter takes place.

3.2 Manner of Disclosure

Disclosure shall be made:

• Verbally at the meeting at which the Matter is first raised, immediately upon the Covered Person becoming aware of the conflict; and

• In writing using the IACSF Conflict of Interest Disclosure Form within five (5) business days.

Written disclosures shall be submitted to the Secretary-General, who shall maintain a Conflict of Interest Register.

3.3 Annual Disclosure Statement

Each Covered Person shall complete and submit an Annual Conflict of Interest Disclosure Statement at the commencement of their role and at the beginning of each calendar year thereafter. The Annual Statement shall list all known relationships, interests, and associations that could give rise to a conflict during the upcoming year. Submission of the Annual Statement does not relieve a Covered Person of their ongoing obligation to disclose specific conflicts as they arise.

4. Recusal Procedures

4.1 Mandatory Recusal

Upon disclosure of a conflict of interest, the disclosing Covered Person shall:

• Immediately recuse themselves from all deliberation, discussion, and voting on the Matter;

• Leave the meeting room (or, in the case of electronic meetings, the virtual meeting space) during deliberation and voting on the Matter, unless their presence as a source of factual information is specifically requested by the presiding officer;

• Take no action to improperly influence the outcome of the Matter; and

• Not be counted in determining a quorum for the vote on the Matter.

4.2 Determination of Conflict

If a Covered Person is uncertain whether a conflict exists, they shall present the facts to the Commissioner (or Board Chair) for a determination. The presiding officer of a meeting may also call a conflict of interest to the attention of a Covered Person and request disclosure and recusal. The remaining members of the relevant body shall have the authority to determine whether a conflict exists and whether recusal is required.

4.3 Commissioner Conflicts

If the Commissioner has or may have a conflict of interest with respect to a Matter, the Commissioner shall disclose the conflict to the Board Chair and recuse from all involvement in the Matter. The Board Chair shall designate an alternate to perform the Commissioner’s functions with respect to that Matter.

5. Record-Keeping

The Secretary-General shall:

• Maintain a Conflict of Interest Register recording all disclosures made under this Policy;

• Ensure that all verbal disclosures are reflected in the minutes of the relevant meeting;

• Retain the Conflict of Interest Register and all Annual Disclosure Statements for a minimum of seven (7) years;

• Make the Conflict of Interest Register available to the Board upon request.

The minutes of any meeting at which a conflict of interest is disclosed shall record: (a) the name of the disclosing Covered Person; (b) the nature of the interest disclosed; (c) the Matter to which it relates; and (d) the action taken (recusal, continued participation with explanation, or other disposition).

6. Apparent and Potential Conflicts

Covered Persons are expected to exercise judgment in identifying not only actual conflicts of interest but also apparent or potential conflicts — situations that a reasonable, informed observer might view as compromising impartiality. The Federation’s reputation for fairness depends on avoiding even the appearance of impropriety. Covered Persons should err on the side of disclosure and recusal when in doubt.

7. Transactions with Related Parties

The Federation shall not enter into any contract, transaction, or arrangement with a Covered Person or a Related Party (as defined in Section 2 above) unless:

• The Covered Person has fully disclosed the relationship;

• The Covered Person has been recused from the decision;

• The Board has determined that the terms are fair and reasonable and in the best interests of the Federation; and

• The transaction has been approved by a majority of disinterested Directors.

All related-party transactions approved under this section shall be documented in writing and retained in the Federation’s records.

8. Enforcement

Violations of this Policy — including failure to disclose a known conflict of interest — are a serious breach of a Covered Person’s duties to the Federation and may result in:

• Voidance or rescission of any action taken in violation of this Policy;

• Disciplinary action under the IACSF Code of Ethics and Bylaws Article XX, up to and including removal from office or termination of employment;

• Personal liability for losses suffered by the Federation as a result of the violation.

9. No Retaliation

The Federation prohibits retaliation against any Covered Person who in good faith discloses a conflict of interest or reports a suspected violation of this Policy. Retaliation is itself a serious violation of this Policy and the IACSF Whistleblower Protection Policy.

Appendix A — Annual Conflict of Interest Disclosure Statement

The following statement shall be completed by all Covered Persons annually:

• I have read and understand the IACSF Conflicts of Interest Policy.

• I am not aware of any conflict of interest that I have not previously disclosed, EXCEPT as described below.

• I will promptly disclose any conflict of interest that arises during the coming year.
